Nominate, develop, and determine remuneration and performance of directors and the President. 9. Determine a remuneration structure that incentivizes the Personnel to perform in alignment with corporate objectives and goals. 10. Determine succession plan for key executive positions, monitor how the succession plan unfolds to make sure that vacancies due to retirement or resignation are filled by high-caliber successor. 11. Ensure sound internal control that is equipped with clear and appropriate regulations and processes, with credible accounting and financial reporting systems compliant with standards, adequate and appropriate risk management, with consistent monitoring and assessment for compliance.
