REPORTS ALLOTMENT OF WARRANT TO EMPLOYEES

As earlier reported, motions passed at extraoridnary meeting of shareholders no.1/1995, held on August 22, 1995 of Electricity Generating Plc (EGCOMP),include to issue and offer 10 million units of warrants with a 5 year term to EGCOMP and its subsidiaries employees. One unit of warrant can be changed to 1 common share at the price of Bt30 apiece. EGCOMP's board of directors have rights to set, amend, add any details concerning the said warrant issuance and offer. EGCOMP's board of directors passed a resolution at its meeting no.7 /1996, held on July 26, 1996 to allot in the first year 1,345,900 units of warrants to EGCOMP and its subsidiaries employees. The allotment depends on each employee's working period, position and salary. The date of the right exercising of warrants no.2 is set to be on April 17, 1997 and October 13, 1997. The company will later seek approval for the issue from the Securities & Exchange Commission (SEC) and the Stock Exchange of Thailand (SET).
