NCREASES INVESTMENTS IN SUBSIDIARY, JOINT VENTURE

Electricity Generating Plc. (EGCOMP) has on July 24, 1997 held its board of directors' meeting no. 8/1997, and EGCOMP was resolved to increase the registered capitals of its subsidiary and joint ventures, detailed as follows: 1. The board resolved to increase the registered capital of a 99.99%- held subsidiary, Egco Joint Investment and Development Co., Ltd., from Bt100 million to Bt800 million. The capital increase objectives are as below: - To support transfer of shares of Amata-Egco Power Co., Ltd., from EGCOMP who holds 30% of the Bt1-billion registered capital of Amata- Egco Power Co., Ltd. - To support additional investment in other project presently under operation The capital increase of Bt700 million will be carried out by issuing 70 million new common shares, with the par value of Bt10 apiece. An initial paid-up of 25% will be demanded. 2. The board resolved to lift the Bt50-million registered capital of Egco Mining Business Co., Ltd., in which EGCOMP holds a 40% stake, to Bt200 million. The increased capital will be spent in operations of projects of the mining business. This capital increase will be arranged via an issuance of 15 new million common shares, with the par value of Bt10 apiece. An initial paid- up of 33% will be required.
