CHANGING OF THE MAJOR SHAREHOLDER STRUCTURE

No. EGCO 310/297 Date: July 21, 1998 Attn: The President of the Stock Exchange of Thailand Subject: Changing of the major shaseholder structure Electricity Generating Public Company Limited (EGCOMP) would like to inform that Electricity Generating Authority of Thailand (EGAT), a sole major shareholder, will sell 78 million EGCOMP shares to a strategic investor, CLP Power Projects (Thailand) Limited. As a result, the major shareholder structure will be changed from EGAT holding 40.5% to EGAT holding 25.6% and CLP Power Projects (Thailand) Limited holding 14.9% on July 23,1998.
