Subject: The structure of major shareholder
Referred to our letter dated July 21, 1998 informing about two
major shareholders of Electricity Generating Public Company
Limited (EGCOMP) which stated that Electricity Generating
Authority of Thailand (EGAT) holds 25.6% and CLP Power Projects
(Thailand) Limited holds 14.9%.
EGCOMP would like to inform the additional information that
CLP Power Projects (Thailand) Limited purchased 27,826,306
EGCOMP's foreign shares in the Stock Exchange of Thailand.
Consequently, the structure of major shareholders is as follows:
EGAT holds 133,773,662 shares representing 25.52% and CLP Power
Projects (Thailand) Limited holds 105,826,306 shares representing
20.18%.
In accordance with EGCOMP's Articles of Association, shares in
the foreign board held by the foreign investors in general are
not more than 30%. In addition, the combination of ordinary
shares held by CLP Power Projects (Thailand) Limited which
purchased from EGAT for being a strategic partner and the
foreign investors in general shall not exceed 45% of the total
outstanding ordinary shares. As CLP Power Projects (Thailand)
Limited bought EGCOMP's stake in the foreign board, the foreign
investors in general, therefore are able to purchase ordinary
shares up to 24.69% in the foreign board. Thai investors excluding
EGAT's stake are able to purchase ordinary shares up to 29.6%
in the main board.
