TRANSMISSION SYSTEM IN CAMBODIA

No. EGCO 310/152 Date: April 5, 2000 Attn: The President of the Stock Exchange of Thailand Subject: Transmission system in Cambodia Electricity Generating Public Company Limited (EGCOMP) would like to inform that on April 5, 2000 EGCOMP will sign Memorandum of Understanding with Ministry of Industry, Mines and Energy of the Royal Government of the Kingdom of Cambodia according to the Agreement between the Government of the Kingdom of Thailand and Cambodia on the power sector cooperation dated February 3, 2000 in order to conduct the feasibility study and development of the project of high voltage transmission system for receiving the electrical power at the inter-connection point at Cambodia-Thailand border and delivering to the provinces of Cambodia,Banteay Menchey, Battambang and SiemRiep. The total transmission line is about 200 kilometers. The construction will take approximately 18-30 months and will cost around US. $ 14 million. The maximum transferred capacity is estimated at 60 MW and it is expected to start commercial operation in late 2002. In addition, on April 7, 2000 EGCOMP will sign Shareholders Agreement with Electric Power Development Company, Ltd., in which the government of Japan holds 66.7% stake, in order to set up EGCO Green Energy Company Limited, a holding company, which will undertake and own 2 projects, the Roi Et and Yala Projects. The shareholding structure of the holding company is as follows: EGCOMP holds 76% and EPDC holds 24%. The Roi Et Project will operate a rice husk fueled electric generating plant with a net capacity of approximately 8.8 MW in Roi Et Province. The project cost is approximately US. $ 15 million. The shareholding structure of the Roi Et Project is as follows: EGCO Green Energy holding 95% and Sommai Roi Et Rice Mill Partnership holding 5%. The Yala Project will operate a rubber wood chip fueled electric generating plant with a net capacity of approximately 20 MW in Yala Province. The project cost is approximately US. $ 32 million. The shareholding structure of the Yala Project is as follows: EGCO Green Energy holding 95% and Asia Plywood Co., Ltd. holding 5%. These projects will supply electricity to Electricity Generating Authority of Thailand under the Small Power Producer Program.
