ADDITIONAL INFORMATION ON THE INCREASING PORTION INNAMTHUEN2

Subject: Additional information on the increasing portion of EGCOMP in Nam Thuen 2
According to the information on the increase of Electricity Generating Public Company
Limited (EGCOMP)'s portion in Nam Thuen 2 Hydroelectric Project by entering into Nam
Thuen 2 Electricity Consortium (NTEC), EGCOMP would like to provide more information
as follows:
1. Previously, EGCOMP purchased 20% stake of equity rights to invest Nam Thuen 2
Hydroelectric Project from Jasmine International Public Company (Jasmine) and
Merrill Lynch Phatra Securities (MLP) in the amount of USD 13,500,000.
2. Subsequently, the Tariff Memorandum of Understanding between Electricity Generating
Authority of Thailand (EGAT) and NTEC was signed on August 8, 2000, and the Power
Purchase Agreement with EGAT is expected to be signed by the end of 2000. This
progress results in a decrease of project's major risks. Therefore, EGCOMP decided
to increase its portion by purchasing 5% stake of equity rights from Transfield Pty Ltd
(Transfield) in the amount of USD 4,875,000. Nevertheless, the increased portion is
subjected to the government of Lao PDR's approval.
Although the purchasing value of equity rights from Transfield is relatively higher
than the amount EGCOMP acquired from Jasmin and MLP, EGCOMP will have increased
influence significantly on the new established company. Moreover, the higher
purchasing value is a minimal portion of total project investment cost. Furthermore,
the investment rate of return still complies with EGCOMP's investment guideline.
3. EGCOMP will have an additional installed capacity of 50 MW equity; thus, EGCOMP will
have a total of 265 MW equity from Nam Theun 2 Hydroelectric Project.
