THE PURCHASE OF TLPC'S SHARES FROM PTT

Subject: The purchase of TLPC's shares from PTT
Reference is made to the Executive Board of Electricity Generating Public Company
Limited (EGCOMP) at the meeting No. 2/2001 held on January 29, 2001 passed the
resolution to purchase 30,000,000 shares of Thai LNG Power Corporation Limited
(TLPC) held by Petroleum Authority of Thailand (PTT) or 40% of total shares at
the issued and paid-up share capital price, 5.00 Baht/share, in the condition
that the cabinet approved PTT to sell off its shares in TLPC. In addition, EGCOMP
reported to the Stock Exchange of Thailand on The investment in TLPC and TLP COGEN
on February 14, 2001 which stated that EGCOMP has strong intention to purchase
TLPC's shares from PTT subject to the cabinet approval and the cabinet approved
PPT to sell off its share in TLPC on February 6, 2001.
EGCOMP would like to inform that on February 23, 2001, EGCOMP purchased 30,000,000
TLPC's shares from PTT or 40% of total shares at the issued and paid-up share capital
price, 5.00 Baht/share, in the amount of Baht 150,000,000 and PTT has already transfer
its shares in TLPC to EGCOMP. Accordingly, the structure of TLPC is as follows:
EGCOMP 37,500,000 shares (50%)
Energy and Infrastructure Development Company Limited (EID) 3,000,000 shares (4%)
Petro Asia International Corporation Limited (Petro Asia) 6,997,499 shares (9.33%)
Thai LNG Company Limited (Thai LNG) 7,499,999 shares (10%)
Thanayong Public Company Limited (Thanayong) 9,997,499 shares (13.33%)
Italian Thai Development Public Company Limited (ITD) 10,005,000 shares (13.34%)
Besides, please be informed that par value of TLPC's shares is 10.00 Baht/share and its
projection on the book value of share as at February 28, 2001 is 3.68 Baht/share.
