Subject: The investment in TLP COGEN
Reference is made to Electricity Generating Public Company Limited (EGCOMP)'s letter
No. EGCO310/056 dated February 14, 2001 on The investment in TLPC and TLP COGEN.
EGCOMP informed the Stock Exchange of Thailand that EGCOMP ultimately has an objective
to hold 80% of TLP Cogeneration Company Limited (TLP COGEN)'s shares whereas Electric
Power Development Company Limited (EPDC) will hold the remaining portion of 20%.
EGCOMP would like to inform that the Executive Board of EGCOMP at the meeting No.3/2001
held on February 19, 2001 passed the resolution to sell 10,000,000 TLPC's shares or 20%
of total shares (50,000,000 shares) to EPDC. The selling price is Baht 7.81 per share
or totally Baht 78,100,000, of which its capital gain is Baht 1.81 compared with the
share price EGCOMP purchased from Thai LNG Power Corporation Limited (TLPC) of Baht 4,
plus an additional Baht 2's paid-up capital. Consequently, EGCOMP has already sold TLP
COGEN's shares to EPDC on March 7, 2001.
The joint investment in TLP COGEN with EPDC, the well-known Japanese electricity generating
company with financial strength, will enhance TLP COGEN's potential both in developing power
plant technology and financing, which EGCOMP and EPDC are widely acceptable to the financial
institution.
