SIGNING SHAREHOLDER AGREEMENT

No. EGCO 410/422 Date : September 19, 2001 Attn : The President of the Stock Exchange of Thailand Subject : Signing Shareholder Agreement According to the previous report to the Stock Exchange of Thailand on the entry of Electicity Generating Public Company Limited (EGCOMP) into Nam Theun 2 Electricity consortium (NTEC) for developing Nam Thuen 2 Hydroelectric Project in Lao People's Democratic Republic, EGCOMP would like to provide more information that on September 19, 2001, EGCOMP signed Shareholder Agreement for the establishment of Nam Theun 2 Power Company Limited with Electricite du Laos (EDL), EDF International (EDFI), which is Electricite de France's subsidiary, and Italian-Thai Development Public Company Limited (ITD). The shareholder structure is as follows: EDL 25% EDFI 35% EGCOMP 25% ITD 15% Nam Theun2 Hydroelectric Project will have a total installed capacity of 1,060 MW, approximately, of which 980 MW and 80 MW will be sold to Electricity Generating Authority of Thailand (EGAT) and EDL, respectively. Now, we are in the process of Concession Agreement negotiation with the Government of Lao PDR and PPA negotiation with EGAT, and EGCOMP will acknowledge SET on the signing accordingly.
