DISSOLUTION OF EGCO MINING CO., LTD.

No. EGCO 410/487 Date : November 9, 2001 Attention: President of the Stock Exchange of Thailand Subject: Dissolution of EGCO Mining Co., Ltd. Reference is made to the policy of Electricity Generating Public Company Limited (EGCOMP), which focuses on investing in core business and withdraw non-core business. In this regard, EGCOMP's Board of Directors at the meeting No. 8/2000 held on July 31, 2000 passed the resolution to approve in principle to sell 70% stakes in EGCO Mining Co., Ltd. (EGCO Mining), the non-core business, on the condition that EGCOMP will gain good return. EGCOMP would like to inform the Stock Exchange of Thailand on the progress of sale implementation that the negotiation of share sale and purchase did not meet EGCOMP's condition. Therefore, the Board of Directors of EGCO Mining passed the resolution to divest the investment in PT Borneo Indobara Project in Indonesia. On November 7, 2001, EGCO Mining in its Extraordinary Shareholders Meeting passed the resolution to dissolute EGCO Mining. Currently, it is on the process of the company's dissolution and liquidation. EGCO Mining has the registered capital at Baht 200,000,000 and the paid-up capital at Baht 176,000,000, which EGCOMP invested in the amount of Baht 124,800,000. The structure of its shareholder is as follows: - EGCOMP 70 % - Cementhai Holding Co.,Ltd 10 % - Enerco Corporation Co.,Ltd 10 % - A.E.D. Holding Co., Ltd. 5 % - J.B. Energy Co., Ltd. 2.5% - SCF Finance and Securities Public Co.,Ltd 2.5% In 1999, EGCOMP realized share of loss from the written down of EGCO Mining's development cost amounting to Baht 119,262,083. Using the equity method of accounting, the balance of investment cost in EGCO Mining was recorded a deficit of Baht 365,000 on the consolidated financial statement as at June 30, 2001.
