THE EXERCISE OF EGCOMP'S WARRANT HOLDERS IN THE FIFTH YEAR

No. EGCO 350/199 Date : June 17, 2002 Attn : The President of the Stock Exchange of Thailand Subject : The exercise of EGCOMP's warrant holders in the fifth year Reference is made to the Employee Stock Ownership Plan (ESOP) of Electricity Generating Public Company limited (EGCOMP). EGCOMP issued 1,434,100 warrants on ordinary shares to the employees of EGCOMP and its subsidiaries in the fifth year of 5-year plan. The ratio of the exercise of rights is one unit per ordinary share at the share price of Baht 30 per share. The exercise dates were scheduled on July 17, 2001 or June 17, 2002. Please be informed that the EGCOMP's warrant holders exercised their rights to subscribe 518,500 shares on June 17, 2002. Including with the warrant, which was exercised 878,400 shares on July 17, 2001, the total warrants that employees have exercised in the fifth year of the program are 1,396,900 shares. Moreover, EGCOMP will later submit the Application for Listing of Ordinary Shares issued for Capital Increase of 518,500 shares to the Stock Exchange of Thailand.
