EGCOMP'S RESTRUCTURING

No. EGCO 350/060 Date : March 10, 2003 Attn : President of the Stock Exchange of Thailand Subject: EGCOMP's Restructuring Electricity Generating Public Company Limited (EGCOMP) would like to inform the Stock Exchange of Thailand that EGCOMP has restructured the organization to provide more efficient implementation under its business expansion plan, which will enhance shareholders' value. The new structure is divided into 4 groups as follows: 1. New Business Venture Group - responsible for creating new business opportunities to ensure continuous growth of power and other energy-related businesses in line with EGCOMP's business development strategy. 2. Asset Management and Planning Group - responsible for corporate planning and management of EGCOMP's asset portfolio. 3. Financial Group - responsible for management of EGCOMP's financial resources. 4. Corporate Service Group - responsible for corporate serve functions The new corporate structure reflects the formation of a new business group - Asset Management and Planning. This group was established in order to allow for the optimal management of EGCO's asset portfolio. Under the new structure, EGCOMP has appointed the following 3 new members to senior management team in order to enhance EGCO's potential in its business expansion in both the domestic and international levels. The effective date will be March 17, 2003. - Mr. Kenneth W. Oberg - Senior Executive Vice President New Business Ventures Group. Mr. Oberg has 33 year experience in the electric power industry. He had been working in various engineering and management positions in the United States. Then, in 1997 Mr. Oberg joined CLP Power International Ltd., Hong Kong as a Managing Director of the company and has become one of EGCO's Directors since 1998. - Mr. Sakda Sreesangkom - Senior Executive Vice President Finance Group. Prior to joining EGCO, Mr. Sreesangkom has long standing experience in investment banking and management of power businesses. He also worked as an Independent Consultant on debt management at the Ministry of Finance and the Asian Development Bank. Currently, he is a Director of Group Business Committee of EGCO. - Mr. Somyos Polachan - Senior Executive Vice President Asset Management and Planning Group. Mr. Polachan has extensive executive and project management experience in Thailand's electricity industry. He had been working at EGAT since 1974 with his latest position as an Assistant Director of Corporate Planning Department. Then, he explored greater business opportunities for 5 years in power companies before joining EGCO in 2000 and presently, he is a Director of several EGCO subsidiary companies. Moreover, EGCOMP has assigned Mr. Siwanan Na Nakorn and Mr. Machima Kunjara Na Ayudhya, who had performed exceptionally well and made significant contributions to EGCO's businesses, to strategic management role and to get involved in various important projects, which will contribute to the growth and development of the company in long term.
