DIVIDEND PAYMENT & SHAREHOLDER'S ANNUAL GENERAL MEETING-2003

No. EGCO 350/086 Date : March 27, 2003 Attn : President of the Stock Exchange of Thailand Subject:Dividend payment and the Shareholder's Annual General Meeting for the year 2003 The Board of Directors of Electricity Generating Public Company Limited (EGCOMP) at the Meeting No. 4/2003, held on March 26, 2003, passed the following resolutions: 1 To propose the Shareholders' Annual General Meeting for the year 2003 that the dividend payment for the 2nd-half-year operation of the year 2002 should be Baht 1.25 per share. Due to the interim dividend for the 1st-half-year operation of the year 2002 was paid at Baht 1.25 per share on September 24, 2002, thus the total dividend for the operating results from January 1 to December 31, 2002 will be equal to Baht 2.50 per share. 2 The Shareholders' Annual General Meeting for the year 2003 will be held on April 30, 2003 at 11.00 a.m. at the Auditorium, 9th Floor, EGCO Tower, 222 Moo 5, Vibhavadi Rangsit Road, Tungsonghong, Laksi, Bangkok. 3 The agenda for the Shareholders' Annual General Meeting for the year 2003 will be as follows: 3.1 To consider and approve the Minutes of the Shareholders' Annual General Meeting No. 1/2002 held on April 22, 2002. 3.2 To consider and approve the Board of Directors' Annual Report for year 2002 and to acknowledge the payment of the interim dividend 3.3 To consider and approve the Balance Sheet and Statement of Income (Loss) as at December 31, 2002. 3.4 To consider and approve the appropriation of net profit and the payment of dividend. 3.5 To consider the appointment of the auditors and determine the audit fee. 3.6 To consider the amendment to article 12 and 13 of the company's Articles of Association; - To amend article 12 to be in line with the Public Limited Company Act and the Stock Exchange of Thailand's notification regarding the treasury stock - To amend article 13 to increase directors' number 3.7 To consider the non-allocation of the remaining reserved shares from unexercised warrants. 3.8 To consider the election of Directors to replace the retiring Directors and the election of new Directors and to determine the remuneration. 3.9 To consider other matters (if any). 4. The closing date of the shareholders registration book for the rights to attend the shareholders' Meeting and to receive the dividend will be on April 9, 2003 at 12.00 a.m. until the adjournment of the meeting.
