Clarification on CLPPA's refusal to sell its stake in BLPC

Subject: Clarification on CLPPA's refusal to sell its stake in BLCP to EGCOMP
We refer to the news in the newspaper dated November 29, 2004 regarding CLP Power
Asia Limited (CLPPA)'s refusal to sell its stake in BLCP, a 1,346 MW coal fire
power plant, to the Electricity Generating Public Company Limited (EGCOMP)
EGCOMP would like to inform the SET that such BLCP transaction is under discussion
and, cannot be disclosed until after to final conclusion based on the confidentiality
agreement between EGCOMP and CLPPA, (which holds 100% of shares in CLP Power Projects
(Thailand) Limited).
In addition, EGCOMP would like to confirm that CLP is EGCOMP's strategic alliance.
If the BLCP transaction between ECOMP and CLPPA is finalized, EGCOMP will promptly
report to SET on the first occasion.
