ADDITIONAL INFORMATION ON CONFLICT OF INTEREST

No. EGCO 310/286 Date June 1, 2000 Attn : The President of the Stock Exchange of Thailand Subject: Additional Information on Conflict of Interest According to the report to the Stock Exchange of Thailand on Signing Share sale and purchase agreement between Electricity Generating Public Company Limited (EGCOMP) and Siam City Cement Public Company Limited (SCCC) on May 31, 2000 in order that EGCOMP shall purchase 87,500,000 shares or 50% stake in Gulf Electricity Public Company Limited (GEC) from SCCC. As EGCOMP and GEC are in the same business, the electricity generating business, this may cause the conflict of interests among them. To clarify this matter, EGCOMP would like to inform as follows: The electricity generating business of both EGCOMP and GEC in SPP and IPP projects have the Power Purchase Agreement (PPA) in long-term and firm with their users which the essence of each agreement will not render the conflict of Interests as following mentioned: SPP Project under GEC has the particular PPA in term of capacity and price with Electricity Generating Authority of Thailand (EGAT) and its private electricity and steam users in the industrial estate. Therefore, there will not be the competition of the electricity generating with EGCOMP whose PPA are the size location and type specific PPA. In the case of 4-5 years future when the power pool will be used in Thailand, the aforementioned projects will not be forced into the pool pursuance of their PPA. However, if EGCOMP and GEC, themselves, want to be in the pool, EGCOMP is strongly confident that their competition will not occur. The reason on this matter is the firms who would like to be in the pool has to be quite certain that they, themselves, must have the competitive advantages both in generating production factors and the specific customers such as the lower cost of sale and the ability to engage with the Power Hedging Agreement.
