THE PURCHASE OF GEC'S ORDINARY SHARES

No. EGCO 310/455 Date : September 14, 2000 Attn : President of the Stock Exchange of Thailand Subject : The purchase of GEC's ordinary shares Presently, Electricity Generating Company Limited (EGCOMP) holds 87,500,000 shares in the amount of 1,050,000,000 Baht , which account for 50% stake in Gulf Electricity Company Limited (GEC), and the Board of Director of GEC has passed the resolution for subscribing its 10,000,000 ordinary shares at 10 Baht per share, which amount to 100,000,000 Baht, for its existing shareholders. The purposes of this raising fund are as follows: 1. To raise fund in Gulf Power Generation Co., Ltd. for IPP project advisor's expenditure and other related 2. To utilize for working capital. Therefore, in order to maintain its 50% stake in GEC, the Executive Board of EGCOMP had the resolution to purchase 5,000,000 ordinary shares of GEC for the total of 50,000,000 Baht at its meeting No.19/2000 held on September 11, 2000.
