No. EGCO 310/293 Date : June 27, 2001 Attn : President of the Stock Exchange of Thailand Subject: The appointment of new Directors Ref: Electricity Generating Public Company Limited's letter No. EGCO 310/230 dated May 22, 2001 regarding the resignation of director. Electricity Generating Public Company Limited (EGCOMP) would like to inform the Stock Exchange of Thailand (SET) that Mr. Viravat Chlayon, Director of EGCOMP's Board of Directors, resigned his directorship, effective on June 24, 2001. In addition, EGCOMP's Board of Directors at the meeting No. 4,2001 held on June 25, 2001 passed the following resolutions: a. To appoint two new Directors, effective on June 25, 2001, as follows: 1. Mr Somchai Wongsawat in place of Mr. Chaiwat Wongwattanasan, who resigned his directorship, effective on May 19, 2001, the detail as shown in the reference. 2. Mr. Aswin Kongsiri in place of Mr. Viravat Chlayon b. To resolve that the Audit Committee of the Board of Directors shall definitely comprise three Independent Directors. c. The term of service of two remaining Audit Committee members, Khunying Nongkran Chandhanayingyong and Mr. Boonshai Jiwalai, will be ended on June 30, 2001 and the Board of Directors appointed three Independent Directors with qualifications as required by SET to be Audit Committee Members, effective on July 1, 2001. They are as follows: 1. Mr. Aswin Kongsiri Chairman 2. Khunying Nongkran Chandhanayingyong Audit Committee Member 3.
