THE RESIGNATION OF THE PRESIDENT &THE AUDIT COMMITTEE MEMBER

No. EGCO 350/374 Date : October 1, 2002 Attn : President of the Stock Exchange of Thailand Subject: The Resignation of the President and the Audit Committee Member Reference is made to the appointment of the new Governor of Electricity Generating Authority of Thailand (EGAT). With the acknowledgement of the Cabinet, EGAT's Board of Directors appointed Mr. Sitthiporn Ratanopas, the Director and the President and CEO of Electricity Generating Public Company Limited (EGCOMP), as the Governor of EGAT effective on October 1, 2002. EGCOMP would like to inform the Stock Exchange of Thailand (SET) that Mr. Sitthiporn Ratanopas accordingly resigned from EGCOMP's President and CEO effective on October 1, 2002. Moreover, EGCOMP's Board of Directors at the meeting No.6, 2002 held on September 23, 2002 passed the resolution to appoint Mr. Worawit Khamkanit, EGCOMP's Director and Audit Committee Member, to be the Caretaker to take up the duties of the President of EGCOMP since he is the former Managing Director and has expertise and experience in managing EGCOMP's business. As the resignation of Mr.Sitthiporn became into effect, Mr. Worawit would be in the position until the new President will be appointed through nominating process by the Nominating Committee within 45 days from October 1, 2002. In accordance with the Notification of the SET, RE: Qualifications and Scope of Work of the Audit Committees (No. 1), 1999, Section 7 (2) stipulated that a member of the Audit Committee does not take part in the management of the company. Appointed as the Caretaker effective on October 1, 2002, Mr.Worawit resigned from the member of the Audit Committee on September 30, 2002.
